Account responsibilities, acceptable use, subscriptions, workspace access, and service terms.

INTRODUCTION

Welcome to Shamel (“Platform”), an AI-powered UI/UX, software, and product generation platform operated by SDAIA! We would like to inform you what data we collect, how we use it and how we share it. For purpose of your safety, we encourage to read carefully the Privacy Policy terms, because by accessing or using the Platform, you agree to comply with and be legally bound by these Terms of Service (“Terms”). We have drafted these General Conditions of Use, to which hereinafter we will refer as: “General Conditions”, in order to enable you to become acquainted with the rules that govern your relationship with Shamel. These terms are a legally binding agreement between you and Shamel as a mandatory contractual relationship between you and us. Thus, we strongly recommend that you read them carefully. We inform you that these General Conditions are implemented and applicable to all users of Shamel. However, if a service/product/action etc. of Shamel may have its own specific conditions. In this case such specific conditions will be applicable. In addition, in case there is any discrepancy between these General Conditions and other specific conditions, then such specific conditions shall prevail and apply. Any amendments and/or supplements of these General Conditions are considered to have amended and/or supplemented the contractual relationship between You and Shamel. These amendments and/or supplements of the General Conditions enter into force whenever you continue to use Shamel’s services after the amendment and/or supplementation of the General Conditions. To avoid any misunderstanding, you will be informed for any of these changes, for which you can simply avoid using our platform by deleting your account or by not using our platform The use of Shamel signifies your full acceptance of these General Conditions, without any reservation, and these General Conditions are applied to the entire content of Shamel. In case you disagree with any part of these General Conditions, you should not continue with the further use of Shamel. General Conditions of Use, Compliance with, and respect for these General Conditions of Use is a precondition for the use of our Services, otherwise you cannot access or use the Platform. If you do not agree to these terms, please do not use our Services.

DEFINITION OF GENERAL NOTIONS

  • Account - your user account registered on the Platform.
  • API - Application Programming Interface. It is a set of rules and protocols that allow Shamel to communicate and exchange data with each other without human intervention.
  • Applicable legislation- refers to Kingdom of Saudi Arabia legislation framework.
  • Copyright - A legal right that allows the creator of an original work (e.g., a blog post, photo, video, code etc.) to decide if and how that original work may be used by others, subject to certain limitations and exceptions (such as “fair use” and “fair dealing”).
  • Deadline – is a time limits that Shamel places for the provision of a certain request/service.
  • Derived Data / Model Data – aggregated, anonymized, processed or transformed data derived from User Content or usage logs used for analytics, model improvement, or product development.
  • Disclaimer - A statement that limits someone’s legal responsibilities
  • Government User - any Government Entity that enters into a contract, Service Order, or MSA for Platform services.
  • Indemnify or indemnity – The contractual obligation to compensate the losses suffered by another individual or organization from legal proceedings such as lawsuits.
  • Intellectual property rights (IP rights) - Rights over the creations of a person’s mind, such as inventions (patent rights); literary and artistic works (copyright); designs (design rights); and symbols, names, and images used in commerce (trademarks). IP rights may belong to you, another individual, or an organization
  • Liability - Losses from any type of legal claim, whether the claim is based on a contract, tort (including negligence) or other reason, and whether or not those losses could have been reasonably anticipated or foreseen.
  • Organization - A legal entity (such as a corporation, non-profit, or school) but not an individual person.
  • Outputs - results generated by the Platform (designs, flows, mockups, code snippets, copy, or other deliverables created or produced by the Platform’s AI or tools).
  • Parties - signifies Shamel and You
  • Personal Data - information (typically held electronically) about a particular person, including, but not limited to, sensitive information regarding their finances, medical history, or information that identifies or can reasonably be used to identify an individual.
  • Platform, Company, Controller, we, our, or us - Shamel (“Platform”), an AI-powered UI/UX, software, and product generation platform operated by SDAIA .
  • Third-Party - Signifies any natural or legal person/entity, other than You and Shamel. For certain purposes the term third-party may have other meanings.
  • Trademark Symbols - names, and images used in commerce that are capable of distinguishing the goods or services of one individual or organization from those of another.
  • User content, your content - Things that you create, upload, submit, store, send, receive, or share using the Platform., such as: design assets, prompts, project files, images, text, metadata, Docs, Sheets, and Slides you create blog posts you upload etc., and the outputs.
  • Warranty - An assurance that a product or service will perform to a certain standard.
  • You, User – the individual or legal entity that registers for or uses the Platform without registration, the AI-powered UI/UX designer platform, or uses it without registration.
  • product generation platform operated by Saudi Data & AI Authority – SDAIA.

All the terms and notions defined above are general notions and, as such, are implemented throughout all of Shamel's Services, except if a certain service has specific definitions of notions and terms, in which case the specific definitions of notions and terms will be applicable. In case there is any discrepancy between the definitions of these general notions and the definitions of specific notions, then the definitions of the specific notions shall prevail. All the words used in the singular shall have the same meaning in plural.

ELIGIBILITY

Individual registration- You must be at least 18 years old to register, to present accurate registration information required by the Platform. Entity registration - If you are using Shamel on behalf of an entity, you have to present accurate registration information required by the Platform, and represent and warrant that you have authority to bind that entity to the Terms and by accepting the Terms, you are doing so on behalf of that entity (and all references to "you" in the Terms refer to that entity As a person/entity registered in the Platform, shall use the Platform in compliance with applicable laws and regulations of the Kingdom of Saudi Arabia (“KSA”).

REGISTRATION

To use certain Services provided by the Platform you need to register an account with Shamel, and log in to such an account. In order to access certain APIs you may be required to provide certain information (such as identification or contact details) as part of the registration process for the APIs or as part of your continued use of the APIs. Any registration information you give to Shamel will always be accurate and up to date and you'll inform us promptly of any updates. If You open an account with Shamel in relation to our Services, you are and remain responsible for the maintenance of the confidentiality of your account, the password of your account, and the details of the payment methods associated with your account, as well as for restricting access to your account. In addition, you are and remain responsible, as well as consent and accept responsibility, for all activities, including purchases, that are conducted through and by your account and/or your password. To use certain Services, you must register an account with Shamel

  • When creating the account, you must provide accurate, complete and current information.
  • You choose if the account is for personal use or an entity.
  • You can choose to add a phone number or email or other contact information.
  • It is optional to add your payment information.
  • You are solely responsible for your Account, credentials, and all activities under your Account.
  • Keep passwords confidential and use MFA where offered.
  • Immediately notify us of any unauthorized access or suspicious activity. We may suspend accounts where we suspect compromise or misuse.
  • You may not share account credentials across unrelated organizations unless specifically allowed by your plan and our policies.

PROHIBITION POLICY

You must use the Platform lawfully and in good faith. You cannot use the platform (or allow those acting on your behalf of you) to:

  • collect or harvest user data without consent, reverse engineer or attempt to extract or reproduce our models, algorithms, or the source code from any API or any related software, except to the extent that this restriction is expressly prohibited by applicable la
  • Defame, abuse, harass, stalk, or threaten others or infringe others’ rights (IP, privacy, publicity), or to use the APIs for any activities where the use or failure of the APIs could lead to death, personal injury, or environmental damage (such as the operation of nuclear facilities, air traffic control, or life support systems).
  • perform or upload malware, viruses, worms, Trojan horses, or material that is unlawful, abusive, pornographic, or hateful, or any items of a destructive nature.
  • bypass quotas, limits, technical safeguards, or security mechanisms or to interfere with or disrupt the APIs or the servers or networks providing the APIs;
  • facilitate wrongdoing or any high-risk systems where inaccuracies could cause bodily harm or significant loss (unless expressly permitted and accompanied by contractual mitigations).
  • Sublicense an API for use by a third party. Consequently, you will not create an API Client that functions substantially the same as the APIs and offer it for use by third parties.
  • Promote or facilitate unlawful online gambling or disruptive commercial messages or advertisements.
  • Use the APIs to process or store any data that is subject to the International Traffic in Arms Laws/Regulations.
  • Remove, obscure, or alter any Shamel’s terms of service or any links to or notices of those terms.
  • We may limit, suspend or terminate Accounts that violate these Terms or that pose a security or legal risk.

SUBSCRIPTION AND PAYMENTS

Access to and use of the Platform is provided to authorized users without direct payment obligations indicating:

  • All Platform-related fees, licensing costs, infrastructure expenses, and operational costs are covered by Shamel;
  • Users are not individually charged for use of the Platform unless otherwise specified in separate written agreements;
  • Shamel reserves the right to introduce future commercial offerings or premium services subject to updated terms and prior notice where applicable.

DATA HOSTING AND JURISDICTION

The Platform is hosted within the Kingdom of Saudi Arabia. All personal data and system data are stored on infrastructure located in Saudi Arabia and processed in accordance with applicable Saudi laws and regulations.

GOVERNING LAW

These Terms shall be governed by the laws and regulations of the Kingdom of Saudi Arabia. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Saudi Arabia.

SERVICES PROVIDED BY SHAMEL:

Shamel provides:

  • AI-powered UI/UX design generation;
  • Design system management;
  • Workflow automation;
  • Application and interface prototyping;
  • Collaboration and export tools;
  • AI-assisted content and design recommendations;
  • Full-stack application generation;
  • Frontend and backend code generation;
  • AI-assisted software development;
  • Export of production-ready code and application structures;
  • Automated generation of APIs, workflows, and application logic;
  • AI-powered generation of functional digital products and applications.

We reserve the right to modify, suspend, or discontinue any feature at any time. The Platform may generate:

  • Source code;
  • Frontend and backend software components;
  • Application architectures;
  • APIs and integrations;
  • Database structures;
  • Functional software products and digital applications.

NOTICE ON AI-GENERATED CONTENT DISCLAIMER

We notify you that the AI-generated outputs:

  • May contain inaccuracies or incomplete information;
  • Require human review and validation;
  • Are provided “as is” without guarantees of accuracy or fitness for a specific purpose.

Users acknowledge and agree that:

  • AI-generated code may contain errors, vulnerabilities, bugs, or incomplete logic;
  • Generated products require technical review, testing, validation, and security assessment before production use;
  • Shamel does not guarantee that generated outputs are error-free, secure, compliant, or suitable for a particular purpose;
  • Users are solely responsible for deployment, hosting, maintenance, testing, legal compliance, cybersecurity, and operation of generated products

Users are solely responsible for reviewing and approving outputs before use.

NOTICE ON SERVICE AVAILABILITY

Service Availability - We aim to provide a stable service but we do not guarantee uninterrupted access for users. Maintenance, updates, security incidents, or external factors may temporarily affect availability. Maintenance - We may perform maintenance that could temporarily limit service availability. We will try to provide notice for scheduled downtime. Beta Features - Beta or experimental features may be provided “as-is” and may be modified or removed without notice. Use of beta features may be subject to separate terms.

SHAMEL’S OWNERSHIP, LICENSES & INTELLECTUAL PROPERTY

  • Platform IP -All intellectual property rights in the Platform, software, AI models, services, documentation, and underlying technology/AI systems, Models and orchestration frameworks, Infrastructure, Core generation pipelines, Proprietary technologies and methodologies remain the exclusive property of the SDAIA or its licensors. No rights are conveyed except the limited rights expressly granted herein.
  • b) Use of generated content -You'll comply with applicable law in using generated content. Some of our Services allow you to generate original content. Shamel won't claim ownership over that content (your uploaded materials, your proprietary content, your organization-specific design systems, your custom-generated outputs and project-specific generated code), subject to applicable subscription and contractual obligations. You acknowledge that Shamel may generate the same or similar content for others and that we reserve all rights to do so. You retain ownership of your User Content. You represent and warrant you hold all necessary rights to grant the licenses below:
  • Third-Party Materials - If the Platform returns or allows use of third-party content (templates, stock images, fonts, plug-ins), you must comply with the third-party license terms; we are not responsible for third-party licensing issues.

Regarding to open Source and Third-Party Technologies, generated outputs may include or rely upon:

  • Open-source libraries;
  • Third-party frameworks;
  • Publicly available software components;
  • External APIs or integrations.

You are responsible for:

  • Reviewing applicable third-party licenses;
  • Ensuring compliance with open-source obligations;
  • Managing usage restrictions and legal obligations related to incorporated technologies.

Shamel shall not be liable for third-party software components included in generated outputs.

CONFIDENTIALITY

  • User’s credentials (such as passwords, keys, and client IDs) are intended to be used by you and identify your access. You will keep your credentials confidential and make reasonable efforts to prevent and discourage others from using your credentials. User’s credentials will not be embedded in open-source projects.
  • User’s personal information, business information, uploaded assets, design system, internal documents, technical and commercial information remain confidential.
  • Our communications to you and our APIs may contain Shamel’s confidential information. Shamel’s confidential information includes any materials, communications, and information that are marked confidential or that would normally be considered confidential under the circumstances. If you receive any such information, then you will not disclose it to any third party without Shamel's prior written consent. Shamel’s confidential information does not include information that you independently developed, that was rightfully given to you by a third party without confidentiality obligation, or that becomes public through no fault of your own. You may disclose Shamel’s confidential information when compelled to do so by law if you provide us reasonable prior notice, unless a court orders that we not receive notice.
  • Each party will keep confidential the other party’s non-public, business, technical, or financial information designated as confidential or that should reasonably be considered confidential.

Confidentiality does not apply to information that is: public, lawfully received from a third party, independently developed, or required to be disclosed by law (subject to notice where permitted). In other cases, confidential information shall not be disclosed without prior written consent unless required by law.

SUSPENSION & TERMINATION

We may suspend or terminate Accounts for breach of these Terms, illegal activity or security risk. We will use reasonable efforts to provide notice where practicable. You may terminate your Account at any time via your settings or by contacting support. Termination does not relieve outstanding payment obligations. Upon termination, your access ends. We may delete or anonymize your data in accordance with our retention policy unless otherwise agreed.

MISCELLANEOUS

Entire Agreement - These Terms plus the Privacy Policy and any applicable MSA, Service Order, or DPA constitute the entire agreement between you and SDAIA concerning the Platform. Severability - If any provision is held invalid, the remaining provisions remain enforceable. Assignment - You may not assign your rights or obligations without our prior written consent. We may assign to an affiliate or in connection with a merger or sale. No Waiver - Failure to enforce any provision does not constitute a waiver. Notices - We may send notices to the email on file or by posting in the Platform. Whereas, notices to us should be sent to legal@---------.com.

LIMITATION OF LIABILITY

Unless otherwise is foreseen by law Shamel shall not be liable for indirect, incidental, consequential, or special damages;

Registration & Acceptance Language

During signup include the following checkboxes and text. Log user selection and timestamp:

  • I have read and agree to the Terms & Conditions and the Privacy Policy. (required)
  • I agree to receive service-related emails and transactional messages. (required)
  • I consent to the use of my non-sensitive User Content for model improvement (optional — default: OFF). You can change this in Account Settings.
  • I confirm I am authorized to register this Account on behalf of my organization. (if registering for an organization)

By clicking “Create Account” or “I Agree” you confirm acceptance of these Terms in English/Arabian language.
